Third Party Services

Inprimepay srl, for the provision of its services, uses technologies, infrastructure, providers, and third-party services, as indicated in these Terms of Service, in the applicable contractual conditions, and in the technical and commercial documentation made available to the Customer.

Specifically, Inprimepay uses third-party technologies and infrastructure, including Stripe and Stripe Connect, to enable the implementation and use of payment systems within the platform, including, but not limited to, payment links, checkouts, QR Codes, Tap to Pay, merchant dashboards, digital collection tools, card payments, SEPA, installment or deferred payment methods, and additional integrated or integrable features.

Inprimepay is not Stripe, Klarna, Scalapay, Alma, SEPA, Visa, Mastercard, American Express, Apple Pay, Google Pay, Samsung Pay, or any other network, institution, intermediary, provider, or party involved in payment processing. These entities are autonomous and independent third-party entities, which operate under their own terms, conditions, regulations, verification procedures, risk policies, anti-fraud and anti-money laundering rules, compliance, territorial availability, and technical requirements.

Opening, maintaining, and using a Stripe account is a prerequisite for using certain Inprimepay features. The Customer acknowledges that the Stripe account is directly governed by Stripe's applicable terms, conditions, policies, and agreements, including, where applicable, the Stripe Services Agreement, the Connected Account Agreement, and any related terms of service updated by Stripe from time to time.

Unless otherwise specified, modified, or updated directly by Stripe, opening a Stripe account may not incur any activation fees for the Customer. It is understood that any fees, charges, withholdings, reserves, reversals, charges, penalties, fees, or other amounts applied by Stripe, payment networks, or other third-party providers are determined solely by those parties and not by Inprimepay.

Stripe and other payment providers, in accordance with their terms of service, internal policies, regulatory obligations, anti-money laundering requirements, anti-fraud rules, verification procedures, and risk policies, may approve, reject, limit, suspend, block, or close, temporarily or permanently, an account, service, payment method, feature, or specific transaction.

Payments, transfers, credits, refunds, disputes, chargebacks, reversals, reservations, document verifications, inquiries, identity checks, risk assessments, funding decisions, and all aspects of money flow are handled directly by Stripe and/or the respective networks, providers, acquirers, institutions, intermediaries, or third parties involved.

Inprimepay does not manage funds, does not hold sums of the Customer or end customers, does not carry out banking, financial, credit, electronic money issuing, credit granting or financial intermediation activities, and has no decision-making power over the evaluations, verifications, approvals, suspensions, limitations, blocks, reserves, chargebacks, refunds, disputes or other actions carried out by Stripe or other payment providers.

By subscribing to and using Inprimepay services, the Customer agrees to open, provide, maintain, and use a functioning Stripe account that is verified and compliant with the requirements of Stripe and any other third-party providers involved. The Customer is solely responsible for the accuracy, completeness, and truthfulness of the data, documents, and information provided to Stripe, third-party providers, and Inprimepay.

Inprimepay srl makes no guarantees regarding the approval, activation, maintenance, continuity, availability, or future usability of the Stripe account, payment methods, BNPL services, Tap to Pay features, payment networks, or any services provided by third parties.

It is understood that Inprimepay srl is not responsible for decisions, suspensions, limitations, verifications, blocks, delays, document requests, refusals, reservations, withholdings, reversals, chargebacks, disputes, malfunctions, unavailability, contractual modifications, technical updates, fee changes, or other interventions relating to the Stripe account, payment circuit services, or third-party providers.

The Customer acknowledges that the availability of certain payment methods, including installment payments, deferred payments, BNPL, Tap to Pay, SEPA, digital wallets or other instruments, may depend on factors external to Inprimepay, such as country of operation, product category, risk profile, compliance requirements, provider approval, account configuration, technical limitations, regulatory updates or independent decisions by third-party providers.

If the Customer uses Inprimepay services integrated with third-party services, some data of the Customer and/or its end customers may be communicated, transmitted, stored, or processed directly by the respective third party, in accordance with their terms of service, privacy policies, data processing agreements, security measures, and applicable policies. The Customer agrees to review and accept these documents when requested.

For example, using Stripe-based features implies the Customer's acceptance of Stripe's applicable terms, conditions, policies, and agreements. Similarly, using methods or services connected to Klarna, Scalapay, Alma, SEPA, card networks, digital wallets, or other providers implies the application of their respective rules and conditions.

Inprimepay is not a party to the direct contractual relationship between the Customer and Stripe or other third-party providers, except as may be provided for in specific written agreements. Inprimepay may, however, facilitate technical integration, operational onboarding, platform configuration, notifications, alerts, sales support, documentation support, and operational communications related to the Customer's account.

Some third-party services, integrations, payment methods, or features may be enabled by default or made available within the platform to ensure the proper functioning of Inprimepay services. The Customer may request their deactivation, where technically possible and compatible with the purchased service. However, deactivating certain providers, payment methods, or features may limit, reduce, or prevent the proper use of one or more Inprimepay features.

Inprimepay srl reserves the right to modify, replace, suspend, integrate, or remove one or more providers, payment methods, circuits, features, or third-party services if deemed necessary for technical, commercial, regulatory, security, compliance, risk, service availability, or platform development reasons.

The Customer acknowledges that use of Inprimepay services presupposes compliance with applicable regulations, third-party provider terms, and permitted product categories. Use of the platform for prohibited, unauthorized, high-risk, deceptive, fraudulent, illicit, or non-compliant activities may result in the suspension or termination of Inprimepay services, without entitlement to refunds, compensation, or damages, except as expressly provided by law.
